Wyoming Company Formation

In Wyoming, companies are exempted from corporate tax.

The name of the LLC may not contain language implying a different purpose from the purpose or purposes in the Articles of Organization.

The LLC name must end with "Limited Liability Company," "Limited Company," "Ltd. Co.," "LC," "LLC" or "L.L.C."

The use of the word "Trust" is restricted.

Use of the words "Academy," "Education," "University" and "School" requires approval by the Department of Education.

The name shall not be the same as or similar to the name of any domestic or foreign LLC, trade name, trademark, or service mark registered in this state, corporation, statutory trust company, limited partnership, or other business entity.

Corporate name endings with the word such as “Incorporated” or the abbreviation “Inc.” are not required.

The company name must be different from the names of other domestic, foreign companies, as well as the trade name, registered trademark in Wyoming State.

The name of the company must not contain language implying different purposes in the Articles of Incorporation.

The government of Wyoming restricted the use of the word “Trust” while business owners need to get approvals from the Department of Education when the business owners use the words “Academy,” “Education,” “University” and “School”.

Wyoming has no age and residency requirements for managers and members

Addresses and names of the manager(s) & member(s) are required to be listed in the Article of Organization.

Wyoming has no residency requirement for directors and shareholders

Addresses and names of the director(s) are exempted to be listed in the Article of Incorporation.

Wyoming corporations are allowed to hold meetings from anywhere in the world.

Annual Report: LLCs in Wyoming are required to file an annual report before or on the first day of the anniversary month of the company’s incorporation.

Registered agent: Wyoming requires LLCs to list the name & address of the registered agent with that agent’s physical address, as well as available to accept the legal documents for the business during normal business hours.

Employer Identification Number (EIN): LLCs with employees are required to have the EIN. Moreover, the majority of the banks required corporations to have EIN in order to open a business bank account.

There is no state tax identification number in Wyoming.
